Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PaintPipeline platform and services ("Service") provided by PaintPipeline ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.
2. Description of Service
PaintPipeline provides a customer relationship management (CRM) platform designed for painting contractors. Features include lead management, estimate creation, proposal sending, electronic signatures, job scheduling, invoicing, payment processing, text messaging, email automation, photo documentation, and business reporting tools.
3. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You are responsible for all activities that occur under your account
- One person or business may not maintain more than one free account
4. Subscription & Payment
- Some features require a paid subscription plan
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are in US Dollars and are non-refundable except as required by law
- We may change subscription pricing with 30 days' notice
- Failure to pay may result in suspension or termination of your account
- You authorize us to charge your payment method on file for recurring subscription fees
5. Payment Processing
Payment processing is provided by Stripe, Inc. By using payment features, you agree to Stripe's Terms of Service. A credit card processing fee of 3.5% is applied to payments made via credit/debit card by your customers. This fee is disclosed to payors before they complete the transaction. We are not liable for payment processing errors, delays, or disputes handled by Stripe.
6. Electronic Signatures
The Service allows your clients to sign estimates electronically. Electronic signatures are legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). By using this feature, you acknowledge that electronically signed documents are legally equivalent to handwritten signatures.
7. SMS & Email Communications
- You are responsible for obtaining proper consent before sending SMS messages or emails to your contacts through the Service
- You must comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable communication laws
- You must honor opt-out requests promptly
- SMS messaging may incur additional charges per your subscription plan
- We reserve the right to suspend messaging privileges for misuse or legal violations
8. User Content & Data
- You retain ownership of all data and content you upload to the Service
- You grant us a limited license to use your content solely to provide the Service
- You are responsible for the accuracy and legality of your content
- You must not upload content that is illegal, harmful, or violates third-party rights
- We may remove content that violates these Terms without notice
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Send spam, unsolicited messages, or harassing communications
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to store or transmit malicious code
- Resell or redistribute the Service without authorization
10. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by PaintPipeline and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAINTPIPELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Indemnification
You agree to indemnify and hold harmless PaintPipeline and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
- You may cancel your account at any time through your account settings or by contacting us
- We may suspend or terminate your account for violation of these Terms
- Upon termination, your right to use the Service ceases immediately
- We may retain your data for a reasonable period for legal and operational purposes
- You may request export of your data before termination
15. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Texas. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaintPipeline regarding the Service and supersede all prior agreements.
